Palacio, Palacio & Zimmerman LLC — TAX & ADVISORS

Services

What we do, and when you need it.

Three groups of work. Most clients start in one and end up in two. If you are not sure which you need, that is a normal place to start a conversation.

Business

The month-to-month work, and the people who do it.

  • Monthly accounting

We keep the books so you can run the business. Reconciled accounts, a close that happens on a schedule, and statements you can hand to a bank without apologizing for them.

    Powered by Clavé™
  • Audits, reviews and compilations

Three levels of assurance, because a lender, a bonding company and an investor do not all need the same thing. We will tell you which one your situation actually calls for before you pay for the larger one.

Attest engagements are performed and signed by PPZ Assurance & Advisory LLC.

  • Payroll

Running payroll and everything behind it — the 941s, the state unemployment filings, W-2s at year end, 1099s for the people who are not employees, and the paperwork that follows a new hire. The part most owners discover is harder than it looks.

  • Sales tax and resort tax

The Florida DR-15 every month, county surtax at the right rate, and resort tax where the city collects its own. We reconcile what you actually collected against what you remit, because the two drifting apart is how a clean business ends up with a notice.

  • Part-time CFO

A financial manager for the decisions that are too big for a bookkeeper and too small for a full-time hire. Budgets, pricing, and what the numbers say about the thing you are about to do.

    Powered by Clavé™
  • Cash flow and bank financing

A cash projection before the crunch, not during it. And when you need the loan, a package the lender can actually underwrite instead of a shoebox.

  • Projections and business plans

What the next twelve months look like in numbers, and the plan that goes around them — for a lender, for an investor, or because you are about to make a decision that deserves more than a guess. Built from your own books rather than a template.

    Powered by Clavé™
  • New business formation

Entity choice, the elections that follow it, and the registrations that have to happen in the first year. Choosing wrong here is expensive and quiet.

    Open a company
  • QuickBooks cleanup

When the file has drifted — undeposited funds that never cleared, a chart of accounts nobody pruned, three years of uncategorized transactions. We fix the file rather than working around it.

Tax

Returns, planning, and what happens when a letter arrives.

  • Business returns

Corporate and partnership returns, the K-1s that come out of them, and the basis and capital account work that makes those K-1s correct.

    S corporations in full
  • Individual returns

We prepare individual returns, and we would rather do it as the last step of a plan than as a scramble in April.

  • Tax planning

Planning is where the money is. Compliance reports what already happened; planning changes it, and it has to happen before the year closes.

  • Estate planning, with your attorney

The tax side of passing things on, worked alongside the lawyer drafting the documents. We do not draft them, and we will tell you plainly when something belongs with counsel rather than with us.

  • Cost segregation

If you built, bought or renovated a building, a lot of what the tax law lets you write off faster is sitting inside the walls. A cost segregation study splits the building into its parts so the shorter-lived ones depreciate on their own schedule. It is one of the few moves that turns a paper exercise into cash in the same year.

  • Multi-state and foreign filings

Where you owe, and to whom, once customers or owners cross a state or a border. The rules are per-jurisdiction and no two are the same.

    International compliance in full

Disputes and valuation

Engagements that happen because of a transaction or a fight, not a calendar.

  • Forensic accounting

Reconstructing what actually happened in a set of books: missing records, suspected diversion, a partner dispute where the numbers are the argument. The work product has to survive somebody trying to break it.

  • Litigation support

Working with your attorney — calculating damages, analyzing the other side's figures, and preparing the schedules that go in front of a court. Engaged through counsel where that matters.

  • Business valuation

What the business is worth, and on what basis. A buy-sell, a divorce, an estate and a sale to a third party do not use the same standard of value, and using the wrong one is the most common error we see.

Getting started

We set it up. You don't get handed a login and wished luck.

Changing accountants is mostly a fear of the handover. So the handover is the part we do properly.

  • If you are on QuickBooks

We go through the whole file with you — the chart of accounts, the opening balances, the things the last person left half-done. Not a connection wizard. An actual review before we touch anything.

  • If you already have a bookkeeper

They keep the work. We write them a coding guide built around your business — which account each kind of transaction belongs in, in plain language — so the books arrive right instead of getting fixed later.

  • Video walkthroughs, made for you

Short recordings of your own file, not a generic help center. Whoever does the day-to-day can watch the part they need again at eleven at night without calling anyone.

  • In English or in Spanish

Whichever your bookkeeper actually speaks. The guide, the videos and the calls all come in the same language, because a coding guide somebody has to translate is a coding guide nobody follows.

Clavé™ Books · coming 2027

The bookkeeping platform we are building for our own clients.

Your books, your statements and the documents behind them, in one place, with the firm working in the same system rather than emailing you about it. Training included when it opens — in English and in Spanish, the same as everything else.

If you have had a letter from the IRS

Bring it in. Most of these are more fixable than they look.

Liens, levies, wage garnishment, unfiled returns, payroll tax trouble, payment plans and offers in compromise. We represent clients in front of the IRS and the Florida Department of Revenue, and the sooner we see the notice the more options there are.

The thing that costs people money is waiting. Almost every one of these gets harder and more expensive on a clock, and most of the clocks start when the notice is dated, not when you open it.

Have the notice in front of you when you call. The number in the top right corner tells us most of what we need to know.

The people we bring in, and the ones we do not pretend to be

A tax answer that ignores the lawyer, the lender or the planner is half an answer.

Most of the decisions that matter are not tax decisions wearing a tax hat. Selling the business, passing it to a child, buying a building, setting up a retirement plan that actually fits the payroll — each one has a tax consequence and a legal document and a funding question, and the three have to agree or the whole thing comes apart eighteen months later.

We have spent thirty years building the bench for that. These are people we have worked beside on real files, not names traded for referrals. We do not take a fee for sending you to any of them, and we stay in the room so the tax position does not get lost in translation.

The other half of this is knowing where our work stops. We do not draft legal documents, we do not sell investments or insurance, and we do not hold ourselves out as doing either. When something belongs with counsel or with a licensed advisor, we say so plainly instead of improvising.

  • Attorneys

Estate and trust counsel, business and transactional lawyers, and litigation counsel when a matter turns into one. They draft; we work the tax side alongside them.

  • Retirement and financial planners

The plan design has to match the payroll, the ownership and the cash flow. We bring in planners who will build around what the business can actually fund, not around a product.

  • Bankers and lenders

A lender reads your financials differently than you do. We prepare statements that survive that reading, and we know who actually lends to your kind of business.

  • Insurance and risk

Buy-sell funding, key-person coverage, and the policies a bank or a landlord will require. We do not sell it. We make sure the structure and the tax treatment line up.

Beneficial ownership reporting (BOI)

U.S. companies no longer have to file beneficial ownership reports. If you filed one, or were told you were about to miss a deadline, that requirement is gone.

FinCEN issued a final rule on August 11, 2026 permanently exempting U.S.-formed companies from the Corporate Transparency Act's reporting requirement. FinCEN has said it will delete beneficial ownership information previously reported by U.S. persons, and that U.S. persons with a FinCEN ID do not need to update or correct what they already submitted.

Companies formed outside the United States that have registered to do business in a U.S. state may still have to report. If that is you, call us before you assume either way — the deadlines for foreign reporting companies are not the same as the ones that used to apply to everyone else.

Not any of these yet?

If the company does not exist, that is the first thing to fix — and the choice you make in week one is the one that is expensive to undo in year three.

Not sure which of these you need?

That is a normal question. The first conversation is free.
